Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Miremi AI website at miremiai.com and the related applications, tools, and services (together, the "Service") operated by ZAIDIEU LLC, a limited liability company formed in Wyoming, United States ("Miremi", "we", "us", or "our"). By creating an account, purchasing a plan or credits, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is provided by ZAIDIEU LLC, 30 N Gould St, STE R, Sheridan, WY 82801, United States. You can reach us at zaidieu@miremiai.com.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that all information you provide is accurate and complete. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account.
You may not share, sell, or transfer your account, and you may not create an account using false information or on behalf of anyone you are not authorized to represent.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraud, abuse, or unlawful purposes.

4. Description of the Service

Miremi is an AI creative studio that helps you turn a product image or link into a set of advertising creatives ("boards" of "ideas"). Features may include, among others, Product to Ads, URL to Ads, Product Reshoot, Clone Ads, Templates, editing and retouching tools, and downloading of generated images ("Outputs"). Features, limits, and outputs may change, improve, or be discontinued over time. We do not guarantee that any particular feature, model, or output will remain available.

5. Plans, credits, and billing

5.1 Subscriptions

The Service is offered through paid subscription plans (for example, Starter, Pro, and Ultra) billed on a monthly or annual basis. Prices are shown on our pricing page in US Dollars and exclude any taxes that may apply. By subscribing, you authorize us and our payment processor to charge your payment method the applicable fees.

5.2 Automatic renewal

Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. We will make the recurring nature of the charge, its amount and frequency, and how to cancel clear before you subscribe. You can cancel at any time; cancellation stops future renewals and takes effect at the end of your current period. To avoid being charged for the next billing cycle, you must cancel before your current billing period ends. You will continue to have access until the end of the period you have paid for.

5.3 Credits

Certain actions consume "credits". Credits are a prepaid, limited-use license to access features of the Service and are not money, currency, or a stored-value instrument. Credits have no cash value, are not redeemable for cash, and are non-transferable. Credits may only be used to access Miremi Services and cannot be used to purchase goods or services from any third party. Plan credits are granted for each billing period and, unless stated otherwise, do not roll over to the next period. Separately purchased top-up credits are consumed after plan credits and do not expire unless stated otherwise on the purchase screen.

5.4 Price changes

We may change prices, plan features, or credit allowances. For active subscriptions, any price change will apply to the next renewal after we give you reasonable notice. Your continued use after a change takes effect constitutes acceptance of the new price.

5.5 Taxes

You are responsible for any sales, use, VAT, or similar taxes associated with your purchase, other than taxes based on our net income.

5.6 Fulfillment and delivery

Because Miremi provides digital services, all subscriptions and credit top-ups are delivered and provisioned to your account instantly upon successful payment clearance. No physical goods are shipped. Access to plan features and the availability of purchased credits constitute delivery.

6. Payment processing

Payments are processed by third-party, PCI-DSS compliant payment providers (such as Stripe). We do not directly collect, process, or store your full card number on our servers. Your use of a payment provider is subject to that provider's own terms and privacy policy. You represent that you are authorized to use the payment method you provide. If a charge is reversed, refunded, or disputed, we may restrict access and, subject to the Refund Policy and applicable law, reclaim credits or benefits associated with that charge.

7. Free trials and promotions

We may, at our discretion, offer trials, promotional pricing, or introductory credits. Trials and promotions may be limited, changed, or withdrawn at any time and may be subject to additional conditions disclosed at the time of the offer. We may limit eligibility to prevent abuse (for example, one trial per person or business).

8. Your content and uploads

"User Content" means the images, product photos, brand names, descriptions, logos, links, prompts, reference advertisements, and other materials you upload to or generate with the Service. You retain ownership of the User Content you provide. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely to operate, provide, secure, and improve the Service, including sending it to the third-party AI providers described in our Privacy Policy so that Outputs can be generated.

You represent and warrant that you own or have all rights and permissions necessary to your User Content and that your User Content, and our processing of it as permitted here, does not infringe or violate the rights of any third party or any law.

8.1 Reference materials and Clone Ads

Some features let you upload or reference an existing advertisement, creative, layout, brand asset, trademark, image, or other material. Uploading or referencing any such material does not grant you any rights in that material. You must have all rights or permissions necessary to use reference materials, and you are solely responsible for ensuring that any Output generated from them does not infringe or violate the intellectual-property, publicity, or privacy rights of any third party. Do not use these features to copy a competitor's protected work, misuse another party's trademark or logo, or reproduce a real person's likeness without authorization.

9. Generated content and ownership

Subject to your compliance with these Terms and full payment of applicable fees, we assign to you the rights we hold, if any, in the Outputs generated for you, and you may use those Outputs for personal and commercial purposes, including advertising. Because AI Outputs are generated from models and inputs, similar or identical outputs may be produced for other users, and we do not warrant that Outputs are unique or that you can obtain exclusive rights, trademark, or copyright protection in them. You are solely responsible for reviewing Outputs before use and for ensuring your use complies with all applicable laws, platform policies, and third-party rights.

10. No performance or approval guarantee

Miremi is a creative tool, not an advertising or marketing service. Miremi does not guarantee advertising approval, impressions, reach, clicks, conversion rates, return on ad spend, revenue, sales, or any other marketing result. You are responsible for reviewing all claims, disclosures, endorsements, pricing, and other content in an Output, and for ensuring compliance with applicable advertising laws and the policies of any platform, before publishing or running an Output as an advertisement.

11. Acceptable use

You agree not to use the Service to create, upload, or distribute content or to engage in conduct that:

infringes intellectual property, publicity, or privacy rights, including generating ads that misuse another party's trademarks, logos, protected creative works, or a real person's likeness without authorization;
is false, deceptive, or misleading, including deceptive advertising, fake endorsements, or impersonation;
is unlawful, defamatory, harassing, hateful, or that promotes violence or discrimination;
is sexually explicit, exploits or endangers minors, or is otherwise obscene;
promotes illegal goods or services, fraud, malware, or circumvents security;
attempts to reverse engineer, scrape, overload, or disrupt the Service, or to access it through unauthorized means;
resells, sublicenses, or exposes the Service or its underlying models as a competing service without our written permission.

We may review, refuse, remove, or restrict content or accounts that we reasonably believe violate these Terms, and we may report unlawful activity to authorities.

12. Sanctions and export compliance

You may not use the Service, and you may not permit anyone to use it on your behalf, if doing so would violate applicable trade sanctions, export-control laws, or restrictions administered by the United States (including OFAC) or other applicable authorities. You represent that you are not located in, or a resident or national of, a country or territory subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable law.

13. Intellectual property in the Service

The Service, including its software, design, text, branding, and the "Miremi" name and logo, is owned by ZAIDIEU LLC or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights. You may not use our name, logo, or branding without our prior written consent.

14. Intellectual-property complaints (notice and takedown)

We respect the intellectual-property rights of others and expect users to do the same. If you believe content on the Service infringes your copyright or other intellectual-property rights, send a written notice to zaidieu@miremiai.com that includes: (a) identification of the work or right you claim is infringed; (b) identification of the material you believe is infringing and information reasonably sufficient to locate it; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on its behalf. We will review valid notices and may remove or disable access to the material and, where appropriate, terminate repeat infringers.

15. Third-party services

The Service relies on third-party providers for AI generation, hosting, and payments (for example, image and language model providers, cloud infrastructure, and payment processors). We are not responsible for the acts, omissions, availability, or content of third-party services, and your use of features that depend on them may be subject to their terms.

16. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL MEET YOUR EXPECTATIONS, BE ACCURATE, OR BE FIT FOR ANY PARTICULAR USE.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIDIEU LLC AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Indemnification

You agree to defend, indemnify, and hold harmless ZAIDIEU LLC from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your User Content, your Outputs, your use of the Service, or your violation of these Terms or of any law or third-party right.

19. Term, suspension, and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases and any unused credits are forfeited, subject to the Refund Policy and applicable law. Sections that by their nature should survive termination will survive.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the revised Terms.

21. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to their personal jurisdiction, unless applicable law requires otherwise. To the extent permitted by law, you and Miremi waive any right to a jury trial and agree that claims must be brought individually and not as part of a class action.

22. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Miremi regarding the Service.
